Abbott's Acquisition of St. Jude to Close This Week

January 2, 2017 -- As of Wednesday, January 4, St. Jude Medical will no longer exist as a company per se; instead it will become part of Abbott, according to the press release below. This $25 billion deal is one of the largest recent mergers of medical device companies since Medtronic's $50 billion 2015 acquisition of Covidien.

To comply with anti-monopoly U.S. FTC regulations, St. Jude Medical needed to divest itself of certain product lines, namely in the vascular closure device (VCD) field. Abbott makes both the Perclose and StarClose VCDs, so St. Jude had to divest itself of its market-leading Angio-Seal, which it sold to Japan's Terumo. Terumo's acquisition of Angio-Seal, used for the closure of femoral site punctures, is interesting in that Terumo has been a leader in making equipment for the competing approach of transradial interventions: its TR BAND® Radial Compression Device is widely used after interventions via the wrist.

A Bit of History
In 2008, St. Jude acquired Radi Systems, the leading manufacturer of transradial equipment at that time, for $250 million, about 1% of the current transaction. Radi Systems also made one of the two fractional flow reserve (FFR) catheters on the market in 2008. St. Jude purchased Radi Systems just prior to release of the FAME study which greatly endorsed the efficacy of measuring FFR and put this technology, so to speak, on the map. Needless to say, St. Jude turbo-charged their marketing of FFR, but left Radi Systems' relatively low-ticket transradial products in limbo. Since that time, the transradial approach has taken off in the U.S. (it was already the leader worldwide) but St. Jude left that field to others.

Oddly enough, Abbott only became a major player in the interventional cardiology field as a result of Boston Scientific's acquisition of Guidant a decade ago, when Boston was required to divest itself of Guidant's stent product line (which conflicted with its own). Boston sold off that business, which included the Xience second-generation drug-eluting stent, to Abbott, with an agreement that for a period of time Boston would be able to co-market that stent under its Promus brand. Abbott's Xience DES became the world leader and catapulted the Abbott Vascular division into a major player in the interventional cardiology field.

About this same time, Abbott was beginning its development of a "dissolvable stent," predicted to be a revolutionary treatment for coronary narrowings, overcoming the downsides of a permanent metal implant. It took a decade, but the Absorb Bioresorbable Vascular Scaffold (BVS) was finally approved by the FDA last July and more recently in Japan.

Vastly Increased Product Line
While Abbott has been a major medical/pharmaceutical firm for decades, and the output of its interventional medical device division ranked as market leaders, the actual product line for cardiology was limited. The acquisition of St. Jude Medical changes all that. Abbott will now own a formidable electrophysiology and heart rhythm management business, pacemakers, ICDs, both surgical and transcatheter valves, including the Portico transcatheter aortic valve product, approved in Europe but not yet in the United States, and PCI guidance systems such as FFR pressure wires and, last but not least, the advanced ILUMIEN Optical Coherence Tomography (OCT) imaging system. These acquisitions position Abbott as a major cardiology device provider, now in the same league with Boston Scientific and Medtronic.

Integration and Expansion
The acquisition of St. Jude is certainly a strategic one for Abbott if the company wants to continue competing in the cardiology device field. The drug-eluting stent, Abbott Vascular's main product, has become a commodity item: Abbott's Xience, Medtronic's Resolute, and Boston Scientific's Promus/Synergy devices have all performed well in clinical trials and real-world practice. One of the main areas for competition there is pricing. So currently this area is not a significant growth market. What had been hoped is that the Absorb BVS would take over, but two and three-year results so far have not shown the "dissolving stent" concept to be superior in any way to current DES; in fact, using the BVS is more complex, expensive, and time-consuming. The FDA has strongly recommended (and Japan is requiring) use of intravascular imaging, such as IVUS or OCT, to optimize implantation of the Absorb BVS. This fact led Prof. Patrick Serruys to joke at last year's EuroPCR meeting that, once the merger of St. Jude and Abbott is accomplished, perhaps they can offer a special combo-pack, bundling an ILUMIEN OCT catheter with every Absorb BVS.

Finally Abbott will face the daunting task of integrating St. Jude's large, diverse, product line and corporate culture into its own. One can only look at the significant difficulties Boston Scientific encountered when it acquired Guidant a decade ago.

The acquisition of St. Jude Medical is expected to be accretive to Abbott's adjusted earnings per share in the first full year and increasing thereafter, with approximately 21 cents of accretion in 2017 and an estimated 29 cents in 2018. The combination is anticipated to result in annual pre-tax synergies of $500 million by 2020, including both sales and operational benefits.[1]
